Terms of Service - Accounting Outsourcing Europe

The present Terms of Service were last modified on 31 January 2022.

The Terms of Service describe the terms and conditions that our Website and Services users are subject to. By accessing and using our Website, you accept the terms and conditions described below.

In the Terms of Service described below:

“Account” means the account associated with the e-mail address a specific User has provided, at the time of signing up on the Website.

“Accounting Firm Representative” means an individual representing or acting as an agent on behalf of an Accounting firm on the Website or when in contact with us or with other Users. Accounting Firm Representative must have a valid mandate and the legal authority, whether actual, implied, or apparent, to represent and act as an agent of the Accounting firm which Account is being created or used.

“Accounting Outsourcing Europe”, “AOE”, “the Company”, “our”, “Company”, “we”,  or “us” means Accounting Outsourcing Europe OÜ, a limited liability company registered in Estonia under registration number 16249486.

“Accounting Outsourcing Europe Services”, or “our Services” means all services provided by Accounting Outsourcing Europe to Users. This includes the use of our Website to find other Accounting firms with whom to collaborate on specific Projects, but also the services we provide when Users seek our direct assistance in finding Accounting firms with whom to collaborate.

“Buyer”, or “Project Initiator” means a User that purchases Seller Services by initiating a Bidding Process on the Website or through our Services, and then selecting a Seller, or Successful Bidder, to collaborate on the Project being promoted. A User may be, at the same time, both a Buyer and a Seller under the present Terms of Service.

“Bidder” means a Seller that is participating in a Bidding Process.

“Bidding Process” means a contest that a Buyer promotes to work on a specific Project, and in relation to which a Seller can submit a bid via the Website or through our Services, with the objective of being selected to collaborate with the Buyer or Project Initiator on the Project being promoted.

“Inactive Account” means a User Account that has not been used or logged into for a period of at least 6 months, or any other period determined by us from time to time.

“Intellectual Property Rights” means any and all intellectual property rights, existing worldwide and the subject matter of such rights, including: (a) patents, copyright, registered designs, registered and unregistered trademarks, rights in circuit layouts, and any right to have confidential information kept confidential; and (b) any application or right to apply for registration of any of the rights referred to in paragraph (a), whether or not such rights are registered or capable of being registered and whether existing under any laws, at common law or in equity.

“Project” means a job offered by a Buyer via the Website or through our Services, and awarded by a Buyer to a Successful Bidder, at the term of a Bidding Process which the Buyer initiates. All Projects and Seller Services promoted through the Website or through our Services must be relevant to the purpose of the Website. In other words, these must be connected to Accounting and Tax work and assignments. 

“Seller” means a User that offers and provides Seller Services through the Website or through our Services. A User may be, at the same time, both a Buyer and a Seller under the present Terms of Service.

“Seller Services” means services provided by a Seller or Successful Bidder in connection with a Project. All Projects and Seller Services promoted through the Website or through our Services must be relevant to the purpose of the Website. In other words, these must be connected to Accounting and Tax work and assignments.

 “Successful Bidder”, means a Seller that is successful at the term of a Bidding Process and is selected by a Buyer or Project Initiator to collaborate on the Project being promoted, in exchange for remuneration.

“User”, “you” or “your” means an Accounting firm whose individual representative or agent, also referred to as Accounting Firm Representative throughout the present Terms of Service, visits or uses the Website or our Services on behalf of that Accounting firm. Throughout the present Terms of Service, Users include Accounting firms who use our Website to find other Accounting firms with whom to collaborate on specific Projects, but also Accounting firms who seek our direct assistance in finding Accounting firms with whom to collaborate. Accounting Firm Representatives must have a valid mandate and the legal authority, whether actual, implied, or apparent, to represent and act as an agent of the Accounting firm whose Account is being created or used. Individuals who do not meet the eligibility criteria detailed in the present Terms of Service to represent an Accounting firm on the Website, and who nevertheless create an Account and use the Website, will be considered as having the same obligations as other Users under the present Terms of Service.

“User Contract” means a separate agreement entered into by a Buyer and a Seller outside the Accounting Outsourcing Europe platform, under which the Seller agrees to sell and to deliver the Seller Services to the Buyer, and the Buyer agrees to purchase such services from the Seller, and in which the terms of future collaboration between both parties are set. A Buyer and a Seller are required to enter into such contract upon the Buyer awarding a Project to the Seller, and the Seller accepting this Project on the Website or through our Services.

“Verified by Accounting Outsourcing Europe” Users have successfully undergone Accounting Outsourcing Europe procedures for identifying and screening Users.

“Website” means the Website operated by Accounting Outsourcing Europe and accessible at: www.accountingoutsourcing-eu.com/.

1. Overview

By accessing the Website and using Accounting Outsourcing Europe Services, you agree to the following terms and conditions with Accounting Outsourcing Europe.

From time to time, we may amend this User Agreement and any linked information by posting amended terms and conditions on the Website, without notifying you.

The Website is an online venue where Accounting Firms, referred to as Users throughout the present Terms of Service, and represented by Accounting Firm Representatives, can buy and sell Seller Services. Buyers and Sellers must create an Account in order to buy or sell Seller Services. The Website enables Users to collaborate online to complete and pay for Projects, and to use the services that we provide. Accounting Outsourcing Europe is not a party to any contractual agreements between Buyers and Sellers in the online venue. Instead, our involvement is limited to facilitating connections between the parties.

2. Scope

Before using the Website and our Services, you are required to read the whole User Agreement, the Website policies, and all linked information.

As a condition to using our Website and Services, you are required to read and accept all of the terms in, and linked to, this User Agreement, the Code of Conduct, the Accounting Outsourcing Europe Privacy Policy, and all Website policies. By accepting this User Agreement, you agree that this User Agreement will apply whenever you access the Website and use our Services.

3. Eligibility

Individuals are not allowed to act as an Accounting Firm Representative and use the Website or our Services on behalf of an Accounting Firm if they:

  • are not legally able to form legally binding contracts;
  • are under the age of 21;
  • do not have a valid mandate to represent and act as an agent of the Accounting firm whose Account is being created or used
  • do not have the legal authority, whether actual, implied, or apparent, to represent and act as an agent of the Accounting whose Account is being created or used
  • are barred from receiving and/or rendering services under the laws of any applicable jurisdiction;
  • are suspended from using the Website or our Services;
  • do not hold a valid e-mail address.

All user accounts are associated with Accounting firms. Users may not share, through their representatives or agents, login credentials with other individuals or parties. Both the Accounting firms and their representatives or agents associated with an Account will be held responsible for all actions taken by the account, without limitation.

If an individual does not meet the eligibility criteria listed above to represent an Accounting firm on the Website or through our Services, and nevertheless creates an Account and uses the Website or our Services, this individual alone will be considered as having the same obligations as other Users under the present Terms of Service, and will be held responsible for all actions taken by the account, without limitation.

When creating an account or using our Services, Accounting Firm Representatives are required to provide the name of the Accounting firm which they are representing. The name of the Accounting firm is then associated with the User’s Account. Users acknowledge and agree that provided the representative or agent who created the Account has proper legal authority, whether actual, implied, or apparent, to act on their behalf, this User Agreement is a contract directly with the Accounting Firm being represented by this individual. Users remain responsible for all activity undertaken in respect of their Account.

We may, at our entire discretion, refuse to register any individual or entity as a User.

Except in the case where you have obtained our prior written consent, you may not transfer or assign any rights or obligations you have under this agreement.

4. Using Accounting Outsourcing Europe

When using the Website or our Services, you will not attempt to or otherwise do any of the following:

  • Use the Website or our Services in any other way than for its intended purpose, or in any unlawful way;
  • Infringe any laws, third party rights, or our policies, including, but not limited to, the Code of Conduct;
  • Fail to deliver payment for services provided to you by other Users;
  • Fail to deliver Seller Services purchased from you by other Users;
  • Evade or manipulate our fee structure, the billing process, or fees owed to Accounting Outsourcing Europe;
  • Post inappropriate, inaccurate, misleading, deceptive, false, defamatory, or offensive content;
  • Take any action that may undermine the feedback or reputation systems;
  • Transfer your Accounting Outsourcing Europe account (including feedback) and Username to another party without our prior consent;
  • Distribute or post unsolicited, bulk electronic communications, or spam;
  • Distribute viruses or any other technologies that may harm Accounting Outsourcing Europe, the Website, or the interests or property of Accounting Outsourcing Europe Users (including their Intellectual Property Rights, privacy and publicity rights).
  • Download listings from our Website for the purpose of aggregating and displaying such listings with listings from other websites without our prior, express written permission.
  • Copy, replicate, or otherwise incorporate any part of the Website into any other website without our prior written authorization;
  • Attempt to modify, or reverse engineer any software program used by us in connection with the Website;
  • Infringe on Accounting Outsourcing Europe’s or Users’ intellectual property rights, including on copyrights and trademarks;
  • Harvest or otherwise collect information about Users, including e-mail addresses or other User data, without their consent.
  • Use Accounting Outsourcing Europe to facilitate money exchange, including, but not limited to, cryptocurrency.

5. Intellectual Property Rights Infringement

Accounting Outsourcing Europe will respond to clear notices of alleged intellectual property rights infringement. If you believe that your Intellectual Property Rights have been infringed, please notify us via customer_admin@accountingoutsourcing-eu.com and we will investigate.

6. Fees and Services

As described in our policy on Pricing, we do not charge any upfront or subscription fee. The only fee we charge is a minimal 1% commission to applicants winning a project, with a minimum charge of EUR 50 when our direct assistance service is not used, and a minimum charge of EUR 200 when such service is used. We aim to be as transparent as possible as to the fees we charge, and our fee structure is explained at all times on our Website. Although our objective is to help Accounting firms across Europe outsource their work to one another at the lowest cost for them, it is a possibility that the fee structure may change in the future. In any case, prior to using any service that has a fee, you have the opportunity to review and accept the fees that you will be charged in accordance with our policy on Pricing.

Unless otherwise specified, all fees are quoted in Euros.

7. Referral program

Accounting Outsourcing Europe currently has a referral program in place to reward Users for referring new Accounting firms to our Website.

In accordance with our policy on Referrals, an individual or company successfully referring an Accounting firm to us shall get as a commission 35% of all the commissions we earn on this particular firm in the first 18 months from the date of registration. The 35% commission applies regardless of whether the referred Accounting firm is initiating a project or winning a project initiated by another firm, meaning that a referrer will get 35% of all commissions earned by us on all projects the firm referred initiates and another 35% of all commissions earned by us on all projects initiated by other firms which the firm referred wins.

We may, at our sole discretion, change, from time to time, the conditions governing our Referral program, including the rate at which we grant commissions to referrers, in which case we will update the present Terms of Service and upload the updated version on our Website. The conditions applying at any point in time shall be those in the Terms of Service uploaded on our Website at that point in time.

The following conditions are a prerequisite to be eligible to earn commissions in accordance with our Referral program:

  • All members of the program, referrer and referees are subject to all other terms and conditions of the Website, which in case of dispute, are held above this section.
  • All members of the program must be over the age of 21 years.
  • For a referrer to be eligible to receive a commission in accordance with our Referral program, his name (if this is an individual referral) or his Company’s name (if this is a referral on behalf of a Company) along with his contact e-mail address must have been properly filled by the referee in the “Referral” fields of the Registration window, at the time of registration. Referrers whose details have been added subsequently to the initial registration shall not be eligible to commissions on this particular referee.
  • Any commission shall be paid to the bank account which details have been provided to us after we have reached out to the referrer’s e-mail address provided by the referee at the time of registration.
  • Only referrals of Accounting firms who are first-time users of our Website are eligible for commissions. Referrals of Accounting firms that have been Users of our Website in the past shall not be eligible for commissions. We reserve the right to investigate whether referees are indeed first-time users of our Website.
  • Accounting Outsourcing Europe may require that both parties fill in and complete their profiles and pass identity checks before payments are released.
  • The Referral program may be withdrawn for a specific user or set of users, if significant reversals, fraud, or chargebacks are observed, if Accounting Outsourcing Europe believes that there is a risk of funds being subject to reversal or chargeback, in cases of disputes between referee and referrer, or for any other reason.
  • Accounting Outsourcing Europe reserves the right to disallow use of this program in its sole and absolute discretion, with respect to fair use of this program, or to prevent any suspected fraud.
  • Accounting Outsourcing Europe reserves the right to require submission of further information from any party applying to make use of this program, for investigating fraud and for risk management and related purposes.
  • Accounting Outsourcing Europe reserves the right to cancel or amend this program at any time.
  • Accounting Outsourcing Europe reserves the right to cancel the program in any country if it is deemed or becomes unlawful to offer the program to any resident of that country.
  • Accounting Outsourcing Europe reserves the right to cap the total amount of commissions available under the program.
  • Commissions are granted only for referring Users who act at all times in good faith and who signed up to the site with the actual intent of using the Website for its intended purposes.
  • Accounting Outsourcing Europe reserves the right to remove Users from participating in the program if the Company determines the Users to be acting in bad faith and abusing the program.
  • The decisions of management are final. No correspondence will be entered into.
  • Any term or condition in these terms found to be void, unenforceable, or illegal may be severed, and the remaining terms and conditions will continue in full force and effect.
  • Accounting Outsourcing Europe reserves the right to release commissions to referees in any currency the Company sees fit.

8. Taxes

Accounting firms using our services are responsible for paying any taxes, including goods and services or value-added taxes, which may apply depending on the jurisdictions where the services are provided.

Depending on their residency or location, Accounting firms using our services may be subject to certain other taxes on certain fees that we charge. These taxes will be added to fees billed by Accounting Outsourcing Europe, if applicable.

You acknowledge that Accounting firms using our services must comply with their obligations under income tax provisions in their jurisdiction.

9. Promotion

We may display the name, logo, images, or other media of the Accounting firms being represented on the Website, for the purpose of providing our Services to Users and/or for use in marketing materials relating to the Website or to our Services, except where you have made a request to us that we do not undertake such action and we have agreed to such a request in writing.

You acknowledge and agree that we may use the public description of your Projects and the content of your profile information on the Website for marketing and other related purposes.

10. Content

We do not claim ownership of your User Content; however, by making use of our Website and Services, you grant us a non-exclusive, sublicensable, irrevocable, and royalty-free worldwide license under all copyrights, trademarks, patents, privacy and publicity rights, and other intellectual property rights to use, reproduce, transmit, print, publish, publicly display, exhibit, distribute, copy, comment on, modify, adapt, translate, publicly perform, make available and otherwise exploit such User Content, either in whole or in part, in all media formats and on third-party sites and platforms without limit as to the number of copies, time, manner or frequency of use, without notice to you, and without the requirement to obtain permission from you or any other person or entity, or the requirement to make payment to you or any other person or entity.

You acknowledge and agree to the following:

  • We act only as a platform for the online distribution and publication of User content. We have the right to take any action deemed appropriate by us with respect to your User content, and we do not guarantee that User content is made available on the Website;
  • We bear no responsibility or liability for the deletion or failure to store or display any content;
  • Any content submitted to the Website is subject to our approval. We may, at our sole and absolute discretion, reject, approve, or modify your User content.

You represent and warrant that any content you publish on our Website:

  • will not infringe upon or misappropriate any patent, copyright, trademark, or other intellectual property rights, nor will it infringe upon or misappropriate any proprietary right or right of publicity or privacy of any person;
  • will not violate any law or regulation;
  • will not be defamatory;
  • will not be obscene;
  • will not include incomplete, inaccurate, or false information about any User or any other party or individual;
  • will not contain any viruses, computer software, or other computer programming routines that are intended to damage, detrimentally interfere with, covertly intercept or expropriate any system, data, or personal information.

You acknowledge and agree that, if solicited by a law enforcement body in any jurisdiction, we may transfer the information linked to your Account to such body. If you wish to withdraw your consent, you acknowledge and accept that we may no longer be able to provide you with access to the Website and Accounting Outsourcing Europe Services, and we may need to close your Account.

The Website may contain general information about financial, legal, and other professional matters. The information contained in the Website does not constitute advice, and should not be treated as such. You must not rely on the information contained in the Website as an alternative to obtaining professional advice. If you have any questions about any matter, you should consult your professional adviser.

We provide unmonitored access to third-party content, including User feedback. We only act as a portal and bear no liability in respect to third-party content on the Website, whether arising from the laws of copyright or other intellectual property, defamation, privacy, or any other legal discipline.

The Website may contain links to other third-party websites. We do not control the websites which are linked to the Website, and we do not endorse the content of such websites. Therefore, the use of third-party content, links to third-party content, and/or websites is at your risk.

You acknowledge and agree that deleting, hiding, or otherwise disposing of information in the Website does not imply permanent deletion of content or information. Information may be retained for a period of time to fulfill record-keeping, regulatory, compliance, law enforcement, and other obligations.

11. Feedback, Reputation, and Reviews

You acknowledge that, upon posting any feedback, reputation, or review, consisting of any comment or rating, the copyright to such content is transferred to us. You acknowledge that,  although we permit you to use it on our Website while you remain a User, such feedback, reputation, or review belongs solely to us. You warrant not to use, or deal with, such feedback, reputation, or review in any way that is inconsistent with our policies as posted on the Website.

You may not do anything that may undermine the integrity of the Accounting Outsourcing Europe feedback system. You acknowledge and agree that we are entitled to suspend or terminate your Account at any time and at our sole and absolute discretion, if we discern any attempt from your side to subvert our feedback system, by posting feedback that is deceitful or untruthful, for instance.

Feedback ratings on our Website belong to us, and such content may not be used for any purpose other than to facilitate the provision of Seller Services between Users through the Website. You may not use your Seller or Buyer feedback in any other real or virtual venue, without our written permission.

12. Advertising

You acknowledge and agree that any content posted by Users on the Website, including in a listing, bid, listing description, among others, must relate to a Project, or Seller Services being offered through the Website. Unless otherwise agreed with us, you warrant that you will not advertise, on the Website, any external website, product, or service that is unrelated or irrelevant when considering the purpose of the Website. In other words, any content posted on the Website must be connected to Accounting and Tax work and assignments.

We may, from time to time, display advertisements or promotions on our Website. You acknowledge and agree that Accounting Outsourcing Europe shall not be held responsible for any damage or loss of any kind incurred by you or any other party, as a result of the presence of such advertisements or promotions on our Website, or any subsequent dealings with third parties.

13. Communication With Other Users

While the Bidding Process on a particular Project is ongoing, and until the Project has been awarded to a Successful Bidder, unless you have a prior relationship with a User, communication between Users must be conducted through communication channels provided on the Website exclusively. These communication channels include message boards, public clarification boards, Project message boards, direct messaging, and other communication channels provided on the Website.

While the Bidding Process on a particular Project is ongoing, you must not provide to other Users e-mail addresses, including those of employees, representatives, or agents, or any other identifying contact information, without our prior consent in writing. In addition, while the Bidding Process on a particular Project is ongoing, you must not communicate with other Users through any means other than those provided on the Website, including but not limited to e-mail, telephone, Skype.

Accounting Outsourcing Europe may use information relating to the Accounting Firm Representatives, or the Accounting firms being represented, including, but not limited to their names, locations, and logos, in relation to the provision of messaging services on the Website.

We may read all correspondence posted to the Website, and we may download, access, and test all uploaded files and content related to your use of the Website for the purpose of investigating fraud, regulatory compliance, and other related purposes.

14. Identity / Know Your Customer

You authorize us, directly or through third parties, to make any inquiries we consider necessary to validate the identity of your representatives or agents, and to validate the information we have been provided with on the Accounting firm being represented.

You must, at our request:

  • Provide any information that will allow us to reasonably identify you
  • Take any necessary step to confirm ownership of any e-mail address you have provided to us;
  • Verify the information you have provided to us relating to the Accounting Firm Representative as an individual, or the Accounting firm being represented by this individual, against third-party databases or other sources.

You must also, upon our request, provide copies of identification documents (such as passport, identity card, or driver’s license). We may also ask you to provide photographic identification, and we may also request a video interview with your representatives or agents to validate their identity, background, and skills.

You acknowledge and agree that we may, at our sole and absolute discretion, suspend, close, or limit access to your Account or to the Website, and to our Services, in the event we are unable to obtain or verify, in a satisfactory manner, the information requested under this section.

You acknowledge and agree that we may update your User information as appearing on the Website in order to match it with any identity documentation provided to us.

15. User Services

For the avoidance of doubt, the present Section and the entirety of the present Terms of Service apply to all services provided by Accounting Outsourcing Europe. This includes the use of our Website to find other Accounting firms with whom to collaborate on specific Projects, but also the services we provide when Users seek our direct assistance in finding Accounting firms with whom to collaborate.

You acknowledge and agree that upon the Buyer awarding a Project to the Seller, and the Seller accepting this Project on the Website or through our Services, both the Buyer and the Seller must enter into a separate User Contract under which the Seller agrees to sell and to deliver the Seller Services to the Buyer, and the Buyer agrees to purchase such services from the Seller. Furthermore, you acknowledge and agree that the terms in any User Contract between a Buyer and a Seller, including the terms relating to dispute resolution between the Buyer and the Seller, are to be determined and agreed between the Buyer and the Seller themselves, outside of the Accounting Outsourcing Europe platform, and that we shall not have any involvement nor responsibility in setting these terms between Users. Nevertheless, as a User, you agree not to enter into any contractual provisions that would be, in any way, in conflict with the present User Agreement.

You warrant that you, including the Accounting Firm Representative as an individual, and the Accounting firm being represented, have the legal authority to enter into User Contracts with other Users, and are competent to set and agree on the future terms of collaboration with other Users, in such contracts.

You are solely responsible for ensuring that you, including the Accounting Firm Representative as an individual, and the Accounting firm being represented, comply with any obligation you may have to other Users. If you do not, you may become liable to other Users. You must ensure that you are aware of, and comply with any domestic and international law, and any other legal and regulatory requirement that applies to you as a Buyer or Seller.

If another User is in breach of any obligation to you, you are solely responsible for enforcing any rights that you may have. You acknowledge and agree that we bear no responsibility for enforcing any rights under a User Contract.

Depending on the jurisdiction applicable to each User, Sellers and Buyers may have rights under statutory warranties that cannot be excluded from a legal standpoint. Nothing in this User Agreement is intended to violate any law (including any law relating to unfair contracts). Similarly, nothing in this User Agreement is intended to override a right that by applicable law may not be excluded. To the extent that any part of this User Agreement is in conflict with any local or international law, all parties intend for this agreement to be read down only to the extent as to be in compliance with such local or international law and no further.

You acknowledge and agree that the relationship formed by a Buyer and a Seller, when entering into a User Contract, is solely that of independent contractors. You acknowledge and agree that nothing in this User Agreement creates a partnership, joint venture, agency, or employment relationship between Users. Similarly, you acknowledge and agree that nothing in this User Agreement shall in any way be interpreted as forming a partnership, joint venture, agency, or employment relationship between Accounting Outsourcing Europe and any User.

You acknowledge and agree that Accounting Outsourcing Europe provides online matchmaking and platform services only, and not screening services. Although we also perform, in parallel, our own procedures and investigations for screening Users, you acknowledge and agree that the result of such procedures and investigations conducted by us are for our own internal use only. You acknowledge and agree that, as a User, you will not rely on our screening procedures, and you will perform your own diligent screening procedures to support your selection of which other Users to cooperate with. You acknowledge and agree that the responsibility for screening and selecting Users with whom to cooperate lies entirely, and solely with you. Furthermore, you acknowledge and agree that the full responsibility and liability for dealings between Users shall be borne by the Users themselves, and that Accounting Outsourcing Europe shall not be held responsible for any damage or loss of any kind incurred by you or any other party, as a result of any dealing with any other User.

You acknowledge and agree that Accounting Outsourcing Europe has no responsibility and shall not be held liable for any aspect of service delivery or interaction between any Buyer and Seller. Furthermore, you acknowledge and agree that Accounting Outsourcing Europe is not a party to any dispute between any Buyer and Seller.

16. Accounting Outsourcing Europe direct assistance

In addition to using our Website to find other Accounting firms with whom to collaborate on specific Projects, Users may also seek our direct assistance in finding Accounting firms with whom to collaborate.

In such event, we may take a more active role in your search of Accounting firms with whom to collaborate, such as collecting your search criteria, contacting prospects, and presenting prospects to you. However, the presentation of any prospects in the frame of such Service pertains solely to a first presentation and does not constitute an endorsement, or recommendation by us.

For the avoidance of doubt, you acknowledge and agree that for all our Services to you, including when we are solicited to provide direct assistance in finding Accounting firms with whom to collaborate, the responsibility for screening and selecting Users with whom to cooperate lies entirely, and solely with you. Furthermore, you acknowledge and agree that the full responsibility and liability for dealings between Users shall be borne by the Users themselves, and that Accounting Outsourcing Europe shall not be held responsible for any damage or loss of any kind incurred by you or any other party, as a result of any dealing with any other User.

You acknowledge and agree that the entirety of the present Terms of Service, particularly the provisions in the Sections “User Services” and “No Warranty as to Each User’s Purported Identity” apply to all services provided by Accounting Outsourcing Europe.

17. Inactive Accounts

You acknowledge and agree that should a User account remain inactive over a prolonged period of time, we may, at our sole discretion, close such account if we believe it will remain inactive in the foreseeable future.

18. Right to Refuse Service

You acknowledge and agree that we may suspend, close, or limit your access to your Account or to our Services, at our sole and entire discretion, and without the requirement to provide any justification or basis for doing so.

Without limiting the preceding, you acknowledge and agree that the following may constitute a basis for suspending, closing, or limiting your access to your Account or to our Services.

  • We determine that you are acting in breach of, or have breached this User Agreement;
  • We determine that you are attempting to exploit the system in an unfair manner, in order to avoid fees, for instance, by under-biding on any particular Project in an attempt to subsequently renegotiate the actual price privately
  • We determine that you are acting in breach of, or have breached any applicable law or any other legal or regulatory requirement;
  • You do not respond to requests made as part of our account verification procedures, or fail to complete account verification procedures within a certain timeframe;
  • You are the subject of sanctions under any applicable sanction regime, or our banking relationships otherwise prevent us from conducting business with you;
  • We determine that your activity on the Website represents a risk of loss to us, a User, or any other person; or
  • Any other reasons we believe to be valid, at our sole and entire discretion.

You acknowledge and agree that the suspension or closure of your Account or suspension of our Services to you due to your breach of this User Agreement, or for any other reason, does not exempt you from settling any remaining liability owed by you either to us, or to any other User. Accordingly, in the event of the suspension or closure of your Account, you warrant that you will immediately settle all fees owed to us and reimburse any reasonable expense incurred by us as part of investigating any breach of this User Agreement, and collecting any remaining liability owed by you.

In the event that we suspend or close your Account or suspend our Services to you, you acknowledge and agree that you will have no claim whatsoever against us as a result of such suspension or termination of your Account.

19. Disputes With Other Users

You acknowledge and agree that Accounting Outsourcing Europe provides online matchmaking and platform services only. You acknowledge and agree that the responsibility for screening and selecting Users with whom to cooperate lies entirely, and solely with you.

You acknowledge and agree that upon the Buyer awarding a Project to the Seller, and the Seller accepting this Project on the Website or through our Services, both the Buyer and the Seller must enter into a separate User Contract under which the Seller agrees to sell and to deliver the Seller Services to the Buyer, and the Buyer agrees to purchase such services from the Seller. Furthermore, you acknowledge and agree that the terms in any User Contract between a Buyer and a Seller, including the terms relating to dispute resolution between the Buyer and the Seller, are to be determined and agreed between the Buyer and the Seller themselves, outside of the Accounting Outsourcing Europe platform, and that we shall not have any involvement nor responsibility in setting these terms between Users.

You warrant that you, including the Accounting Firm Representative as an individual, and the Accounting firm being represented, have the legal authority to enter into User Contracts with other Users, and are competent to set and agree on the future terms of collaboration with other Users, in such contracts.

You acknowledge and agree that the full responsibility and liability for dealings between Users shall be borne by the Users themselves, and that Accounting Outsourcing Europe shall not be held responsible for any damage or loss of any kind incurred by you or any other party, as a result of any dealing with any other User.

You acknowledge and agree that Accounting Outsourcing Europe has no responsibility and shall not be held liable for any aspect of service delivery or interaction between any Buyer and Seller. Furthermore, you acknowledge and agree that Accounting Outsourcing Europe is not a party to any dispute between any Buyer and Seller.

In the event that a dispute, in relation to any Project, arises between you and another User, you acknowledge and agree that, as a first step to dispute resolution, you will first attempt to resolve among yourselves any differences that you and the other User have in relation to this particular Project, including with regards to the quality of the services delivered.

You acknowledge and agree that if you continue to encounter difficulties resolving a dispute with another User, the terms in the separate User Contract entered into by you and the other User, including the terms relating to dispute resolution between the Buyer and the Seller, shall apply.

In relation to disputes with any other User of the Website, you hereby agree to indemnify Accounting Outsourcing Europe from any and all claims, demands, and damages, actual and consequential, of every kind and nature, known and unknown, that is related to such a dispute.

The Accounting Outsourcing Europe Code of Conduct applies to all the services offered by Accounting Outsourcing Europe. You agree to and commit to making reasonable and fair demands/offers in relation to the disputes you are involved in. In particular, you commit not to make use of threats, blackmail, intimidation, or inducement of users to leave positive feedback.

Any User who is found to have breached the Code of Conduct may incur further disciplinary action. For more information, please refer to the Code of Conduct.

20. Disputes With Us

Our objective is to address any concern from our Users in a swift and satisfactory manner for our Users. If a dispute arises between you and Accounting Outsourcing Europe, we encourage you to contact us directly to seek a resolution by e-mailing us at customer_admin@accountingoutsourcing-eu.com.

For any claim, Accounting Outsourcing Europe may elect to resolve the dispute in a cost-effective manner through binding non-appearance-based arbitration. If Accounting Outsourcing Europe opts for arbitration, such arbitration will be initiated through an established alternative dispute resolution (ADR) provider. In such instances,  you will be provided, by Accounting Outsourcing Europe, with a panel of ADR providers from which to select the ADR provider of your choice to initiate and conduct the arbitration process. The ADR provider and the parties involved in the claim must comply with the following rules: a) the arbitration shall be conducted online, by telephone, and/or be solely based on written submissions, the specific manner being agreed on by the parties involved, or if no agreement can be found, being chosen by the party initiating the arbitration; b) the arbitration shall not require, nor involve any personal appearance by the parties or witnesses unless agreed explicitly in written by all parties involved; and c) any judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Any claim you bring against Accounting Outsourcing Europe must be resolved in accordance with the terms of the present Agreement. Any claim filed or brought that is not in line with this Agreement shall be considered improperly filed and in breach of this Agreement. Should you file a claim that is in breach of the terms of this Agreement, Accounting Outsourcing Europe will be entitled to recover all reasonable legal costs and expenses incurred in relation to this claim, provided that Accounting Outsourcing Europe has notified you of the improperly filed claim in writing, and that you have failed to promptly withdraw the claim in accordance.

You agree and warrant that you will not pursue any claim against Accounting Outsourcing Europe on a class or other representative basis. Furthermore, you agree that you will not seek to coordinate or consolidate any arbitration or action hereunder with any other proceeding.

In the event any proceeding by or against you is commenced under any provision of any bankruptcy or insolvency law, Accounting Outsourcing Europe will be entitled to recover all reasonable legal costs and expenses incurred in relation to the enforcement of this Agreement.

Accounting Outsourcing Europe’s failure to act with respect to a particular breach by you or other parties does not waive our right to act with respect to similar breaches, regardless of whether these breaches are anterior or posterior to the breach not acted upon.

21. Currencies

Quotes can be made on the Website in a number of different currencies. At the time of making a quote, the currency selected becomes the original currency of the quote, and the amount of the quote in the original currency will be displayed. The quote may as well be displayed in another currency, for indicative purposes. With regards to amounts displayed in a currency other than the original currency of the quote, the conversion is based on indicative market exchange rates. In these situations, you understand and agree that the exchange rates used are only indicative, and the amount specified in the original currency is the actual amount of the quote.

You acknowledge and agree that you are fully and solely responsible for all risks associated with converting and settling transactions in different currencies, including but not limited to the risk that the value of these transactions will fluctuate as exchange rates change over time.

22. Survival and Release

The present agreement supersedes any other agreement between you and Accounting Outsourcing Europe. If any part of this agreement is held to be unenforceable, that particular part will be limited to the minimum extent required so that this agreement will otherwise remain in full force and effect. Any failure from our side to enforce any part of this agreement does not waive our right to later enforce that particular part or any other part of this agreement. In addition, we may assign any of our rights and obligations under this agreement from time to time.

If any dispute arises between Users of the Website, or between a User and any third party, you agree that Accounting Outsourcing Europe is under no obligation to become involved in such dispute. In the event that you have a dispute with another User of the Website or with any third party, you release the Company, as well as its officers, employees, representatives, agents, and successors from claims, demands, and damages of every kind or nature, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising from or in any way related to such dispute and/or to our Services.

23. Access and Interference

You agree that you will not, for any purpose, use any robot or other automated means to access the Website, without our express written permission.

In addition, you agree that you will not:

  • take any action that imposes an unreasonable or disproportionately large load on our infrastructure (which shall be determined at our sole discretion, though exercised reasonably);
  • interfere with, manipulate, disrupt, modify, impair, disable, damage, or overburden any device, software, or network connected to or used in relation to the Website or your Account;
  • assist any other party in performing the above actions;
  • interfere or attempt to interfere in any way with the proper functioning of the Website and our services; or
  • bypass any measures we may put in place to restrict or prevent access to the Website.

24. Closing Your Account

You may close your Account at any time, subject to the following conditions being met:

  • You must not have any outstanding listings on the Website;
  • You must have resolved any outstanding matters (such as a suspension or restriction on your Account); and
  • You must have paid any outstanding fees or payables associated with your Account.

In order to satisfy regulatory requirements and our own external obligations, we may retain some of your information. Hence, closing your Account does not necessarily result in the full deletion or removal of the information we hold in relation to your Account.

25. Privacy

We use your information as described in the Accounting Outsourcing Europe Privacy Policy. If you object to this information being used or transferred as described in our Privacy Policy, then we are unable to provide you with access to our Services, and you must not use the Website or our Services. For the avoidance of doubt, information such as the name and e-mail address of the Accounting Firm Representative, the name of the Accounting firm being represented, as well as various information relating to the Accounting firm being represented, including but not limited to its location, turnover, and number of employees, shall be used and displayed for identification and contact purposes in the ordinary course of conducting business through the Website. This information may also be included on invoices and purchase orders issued by Accounting Outsourcing Europe.

26. Indemnity

You warrant that you will indemnify us (and our officers, employees, representatives, agents) against any claim or demand, including legal fees and similar costs, made against us by any party as a result of your breach of this Agreement, your infringement of any law or your infringement of the rights of a third party in the course of using the Website and Accounting Outsourcing Europe Services.

27. Security

You must notify us immediately upon becoming aware of any unauthorized access or security breach to the Website, your Account, or the Accounting Outsourcing Europe Services. Furthermore, you must do everything in your power to mitigate the unauthorized access or security breach (including notifying appropriate authorities, and where applicable, preserving evidence). You, or your representatives or agents, must not share your password or credentials with other individuals or parties. You are solely responsible for keeping your password secured. You acknowledge and agree that we will not be held liable for any loss or damage arising from the unauthorized access to your account as a result of your failure to secure your password.

28. No Warranty as to Each User’s Purported Identity

For the avoidance of doubt, the present Section and the entirety of the present Terms of Service apply to all services provided by Accounting Outsourcing Europe. This includes the use of our Website to find other Accounting firms with whom to collaborate on specific Projects, but also the services we provide when Users seek our direct assistance in finding Accounting firms with whom to collaborate.

Although we also perform, in parallel, our own procedures and investigations for screening Users, you acknowledge and agree that the result of such procedures and investigations conducted by us are for our own internal use only. You acknowledge and agree that, as a User, you will not rely on our screening procedures, and you will perform your own diligent screening procedures to support your selection of which other Users to cooperate with.

You acknowledge and accept that we cannot and do not confirm each User’s purported identity on the Website. Information about any User, as displayed on the Website or through our Services, is based solely on the data and documentation that a User submits, and this information is provided on the Website or through our Services solely for the convenience of Users. However, the provision of such information does not constitute an endorsement, or recommendation by us.

29. No Warranty as to Content

The Website is both dynamic and time-sensitive. As such, its content will change frequently. Consequently, it is a possibility that some information could be considered inaccurate or misleading or mislabelled accidentally by us or accidentally or purposefully by another party.

The Website and all its content are provided on an “as is”, “as available”, and “with all faults” basis and without warranties of any kind, whether express or implied.

In light of the above, and for the avoidance of doubt, we make no representation or warranty about:

  • the Website or any Seller Services or Accounting Outsourcing Europe Services;
  • the content of the Website, including with regards to its accuracy, reliability, availability, veracity, or timeliness
  • whether Seller Services or Accounting Outsourcing Europe Services will be up-to-date, uninterrupted, secure, error-free, or non-misleading;
  • whether defects in the Website either identified or reported will be corrected or addressed;
  • whether the Website, the Seller Services or the Accounting Outsourcing Europe Services and any related data, content, or material will be backed up at any point in time or whether business continuity measures are in place with respect to the Website, Seller Services or Accounting Outsourcing Europe Services;
  • any agreement with another party or any guarantee of business gained by you through the Website, Seller Services or Accounting Outsourcing Europe Services or us; or
  • the Website, Seller Services, or Accounting Outsourcing Europe Services or infrastructure on which they are based, being free at all times from error or malicious code, and being secure, confidential, or performing at any particular standard or having any particular function.

We specifically disclaim, to every extent permitted by law, any implied warranties of title, fitness for a particular purpose, merchantability, quality, suitability, and non-infringement.

30. Limitation of Liability

In no event and under no circumstances shall we, or our officers, employees, representatives, or agents be liable, whether in contract, warranty, tort (including negligence), or any other form of liability, for:

  • any indirect, incidental or consequential, or special damages that may be incurred by you, including the Accounting Firm Representative as an individual, and the Accounting firm being represented;
  • any loss of income, profits (whether direct or indirect), or business that may be incurred by you, including the Accounting Firm Representative as an individual, and the Accounting firm being represented;
  • any claim, damage, penalty or fine, or loss which may be incurred by you, including the Accounting Firm Representative as an individual, and the Accounting firm being represented, as a result of any of your transactions through, or involving the Website.

The limitations on our liability to you outlined above shall apply regardless of whether or not we, or our officers, employees, representatives, or agents have been advised of the possibility of such losses or damages arising.

Considering the above provisions, nothing in this User Agreement is intended, nevertheless, to limit or exclude any liability on our part where and to the extent that applicable law prohibits such exclusion or limitation.

You acknowledge and agree that our liability for breach of a non-excludable condition or warranty under any applicable law shall be limited to the supply of the Accounting Outsourcing Europe services again or alternatively, to the payment of the cost of having the Accounting Outsourcing Europe services supplied again.

31. Legal Limitations

Some jurisdictions do not allow some of the limitations or exclusions as established above. As such, some of these limitations or exclusions may not apply to you. In such case, the liability will be limited as far as legally possible under the applicable legislation. You acknowledge that we may plead this User Agreement in bar to any claim, action, proceeding, or suit brought against us for any matter in relation to the use of the Website or our Services, or in relation to this User Agreement.

You and we agree that you and Accounting Outsourcing Europe will be permitted to bring claims against the other party only on an individual basis and not as a plaintiff or class member in any class or representative action or proceeding. Unless explicitly agreed by both you and Accounting Outsourcing Europe, the appointed arbitrator may not consolidate or join more than one individual’s or party’s claims and may not preside over any form of a consolidated, representative, or class proceeding. Furthermore, the arbitrator may award relief (including monetary) only in favor of the individual party seeking relief and only to the extent necessary to meet that party’s individual claims. Any relief awarded cannot affect other Users.

32. Notices

Legal notices will be sent to the e-mail address you provide to Accounting Outsourcing Europe during the registration process. When sent by e-mail, notice will be deemed given 24 hours after the e-mail is sent, unless the sending party is notified that the e-mail address to which notice was sent is invalid or that the e-mail has not been delivered. Alternatively, legal notice may be given to you by mail to the address you provide to Accounting Outsourcing Europe during the registration process. When sent by mail, notice will be deemed given three days after the date of mailing.

Any notices to Accounting Outsourcing Europe must be given by registered ordinary post.

33. Law and Forum for Legal Disputes

This Agreement will be governed in all respects by the laws of France. We encourage you to first try and resolve disputes using certified mediation (such as online dispute resolution processes). However, if a dispute cannot be resolved through any other means, then you and Accounting Outsourcing Europe irrevocably submit to the jurisdiction of the courts of France.

34. Severability

The provisions of this User Agreement are severable. Hence, if any provision of this User Agreement is held to be invalid or unenforceable, such provision may be removed while the remaining provisions will be enforced. We may assign this Agreement to an associated entity or to a third party at any time, without your consent, including in the event of a sale or transfer of some or all of our assets. In the event of any such sale or transfer, you will remain bound by this User Agreement.

35. Interpretation

The headings in this User Agreement are for reference purposes only and shall not be interpreted as an indication of the scope or extent of the related section.

36. No Waiver

Our failure to act with respect to an actual or anticipated breach by you or another party does not waive our right to act with respect to similar or subsequent breaches. Nothing in this User Agreement shall exclude or restrict your liability arising from fraud or fraudulent misrepresentation.

37. Communications

You consent to receive notices and information from us in relation to the Website and to our Services by electronic communication. You understand that you may withdraw this consent at any time. You also understand that if you do so, we may no longer be able to provide our Services to you, and we may need to suspend or close your Account.

38. Additional Terms

You understand that it is essential that you read and understand all our policies as they provide the rules and conditions for using the Website and our Services. You acknowledge and agree that it is your responsibility to familiarize yourself with our policies and make sure you comply with them. You understand that our policies, including all policies referenced in them, are part of this Agreement and provide additional terms and conditions in relation to our Services, including but not limited to:

  • Privacy Policy
  • Code of Conduct
  • Copyright Infringement Policy

Each of these policies may be updated from time to time, without notice to you. Changes take effect when we post the updated policies on the Accounting Outsourcing Europe Website. You understand that when using our Website and our Services, you are subject to the above-mentioned policies or rules which are incorporated into this User Agreement.

39. General

Accounting Outsourcing Europe OÜ is located at Sepapaja 6, Tallinn 15551, Estonia.

This Agreement contains the entire understanding and agreement between you and Accounting Outsourcing Europe. The following Sections survive any termination of this Agreement: “Fees And Services” (in relation to fees owed for our services), “Survival and Release”, “Content”, “No Warranty As To Content”, “Limitation Of Liability”, “Indemnity”, “Legal Limitations”, and “Disputes With Us”.

40. Abusing Accounting Outsourcing Europe

Accounting Outsourcing Europe reserves to the greatest extent possible all rights to limit, suspend or terminate our Services and/or User accounts, ban access to our Services, remove any content, and take any technical or legal step to ban Users.

Without limiting the reasons for taking the above-mentioned actions, conduct that may give rise to this response could include:

  • use of our services for any illegal or prohibited purpose
  • acting inconsistently with the letter or spirit of any of our policies
  • infringing the intellectual property rights of third parties
  • creating problems with other users or potential legal liabilities
  • abuse of any of our officers, employees, representatives, or agents, including through inappropriate or unreasonable communications
  • any attempt to use Accounting Outsourcing Europe’s platform or services for any objectionable purpose
